Finnair launches new share-based incentive program

Finnair's Board of Directors has decided to introduce new three-year periods for the airline's long-term share-based incentive programs. The programs include both performance-based and time-based share awards for management and key employees.

The performance-based program, Performance Share Plan, covers the period 2026–2028 and is aimed at approximately 75 managers and specialists, including members of Finnair's Group Management.

The outcome is based on three targets: earnings per share, fuel efficiency measured as carbon dioxide emissions per transported tonne kilometer (CO₂/RTK) and employee engagement. If all targets are achieved, a maximum of three million shares can be awarded. The reward will be paid in the spring of 2029.

At the same time, Finnair is introducing a new period for its Restricted Share Plan, which serves as a supplementary incentive program for specially selected key individuals. The program covers approximately 20 employees and may result in a maximum distribution of 350,000 shares in the spring of 2029.

The purpose of both programs is to strengthen the connection between management incentives and shareholders' long-term interests and to increase the opportunities to retain key expertise.

Finnair also states that members of the Group Executive Board are expected to retain at least half of the shares they are awarded until their holdings correspond to at least one year's salary. In addition, the total variable remuneration to an individual participant may not exceed 200 percent of the fixed annual salary.
